Terms of Use

1.1 Inquiry and Quote Process

Zeakka provides sourcing and procurement services for custom cable assemblies, connectors, and related interconnect components. When you submit an inquiry, we will provide a quote based on your specifications. Quotes are valid for 30 days unless otherwise stated. A quote does not constitute a binding contract until both parties sign a formal purchase agreement.

1.2 Sampling

Zeakka can provide product samples for your evaluation. Sample terms include:

• Samples are typically provided within 5-7 business days
• Sample costs may apply depending on complexity and customization
• Samples are for evaluation purposes only
• Your approval of samples ("Golden Sample") is required before mass production

1.3 Bulk Orders and Production

Once samples are approved, bulk orders proceed as follows:

• A formal purchase order and contract must be executed
• Payment terms and lead times will be specified in the contract
• Typical production lead time is 20 working days for standard orders
• Minimum order quantities (MOQ) may apply based on product specifications

1.4 Payment and Shipping

Payment and shipping terms will be detailed in your purchase agreement:

• Payment methods: T/T (bank transfer), L/C, or other mutually agreed terms
• Shipping: FOB, CIF, or other Incoterms as agreed
• Zeakka can arrange consolidated shipments with other components to reduce freight costs
• Customers may use their own freight forwarder or authorize Zeakka to arrange shipping

2.1 Customer Authorization

By submitting design drawings, specifications, BOMs, and technical requirements to Zeakka, you grant us the right to:

• Share your designs with our manufacturing partners for quotation and production
• Use your information to provide accurate quotes and samples
• Retain records of your designs for quality control and order fulfillment

2.2 Confidentiality Obligations

Zeakka and all manufacturing partners commit to:

• Maintain strict confidentiality of your design information
• Use your designs solely for the purpose of producing your orders
• Not disclose your designs to other customers or unauthorized parties
• Require all manufacturing partners to sign confidentiality agreements

2.3 Ownership of Designs

You retain full ownership of all designs, specifications, and intellectual property submitted to Zeakka. Zeakka and manufacturing partners acquire only a limited license to produce your designs for your orders. After production is complete, manufacturing partners will not retain your original design files.

2.4 Zeakka's Intellectual Property

All content on our website, including text, images, logos, and software, is the property of Zeakka or our licensors. You may not reproduce, distribute, or modify any content without our prior written consent.

3.1 Force Majeure

Zeakka is not liable for any delays, failures, or inability to perform services caused by events beyond our reasonable control, including but not limited to:

• War, terrorism, or civil unrest
• Natural disasters (earthquakes, floods, typhoons, etc.)
• Pandemics or epidemics
• Government actions or regulatory changes
• Supplier failures or manufacturing delays
• Transportation disruptions or logistics failures

In such cases, Zeakka will notify you promptly and work to find alternative solutions.

3.2 Product Quality

Zeakka sources products from qualified manufacturers and provides quality control reports. However, Zeakka is not responsible for:

• Manufacturing defects that occur after shipment
• Damage caused by improper storage, handling, or installation by the customer
• Failure to meet specifications due to customer-provided incorrect information

Quality disputes must be reported within 30 days of receipt. Zeakka will work with the manufacturer to resolve issues.

3.3 Delivery and Lead Times

While Zeakka commits to meeting agreed lead times, we are not liable for delays caused by:

• Manufacturing delays at supplier facilities
• Logistics or shipping delays
• Customs clearance issues
• Customer-requested changes or delays in payment

In case of delays, Zeakka will provide updates and work to expedite delivery where possible.

6.1 Negotiation

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation between authorized representatives.

6.2 Escalation

If negotiation fails within 30 days, either party may escalate the dispute to senior management for further discussion.

6.3 Legal Action

If the dispute cannot be resolved through negotiation, either party may pursue legal remedies through arbitration or litigation in accordance with applicable law.
